Terms of Service

1. Parties and Agreement

These Terms of Service ("Terms") form a legally binding agreement between Todah Systems Limited (trading as OppTrack CRM), Lagos, Nigeria ("we", "us", "our") and the organisation or individual creating a workspace ("Customer", "you", "Tenant").

By clicking "Create my workspace" or otherwise accessing the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you are accepting on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. Definitions

• Service: The OppTrack CRM cloud-based customer relationship management platform available at crm.todahsystems.com and associated APIs.
• Workspace: The isolated tenant environment created for a Customer, identified by a unique slug.
• User: Any individual granted access to a Workspace by the Customer.
• Customer Data: All data submitted to the Service by the Customer or its Users.
• Subscription Period: The period for which a paid plan is active.

3. Service Description

OppTrack CRM provides a cloud-based CRM platform enabling Customers to manage contacts, leads, opportunities, pipelines, projects, quotes, invoices, and other business data. The specific features available depend on the plan selected.

3.1 Plans and Limits

We reserve the right to update pricing with 30 days' notice to existing Customers.

3.2 Free Trial

New Customers receive a 14-day free trial with full access to the selected plan. No payment is required to start a trial. At the end of the trial period, the Workspace will become read-only until a paid subscription is activated. Customer Data is retained for 30 days after trial expiry before deletion.

4. Account Registration

• You must provide accurate and complete registration information.
• You are responsible for maintaining the security of your Workspace credentials.
• You must promptly notify us of any unauthorised access at security@todahsystems.com.
• Each Workspace has one administrator account created at signup. Additional users may be added within plan limits.
• You must be at least 18 years old to create an account.

5. Acceptable Use

You agree not to use the Service to:

• Upload, transmit, or store unlawful, harmful, or fraudulent data
• Infringe any intellectual property, privacy, or data protection rights of third parties
• Attempt to gain unauthorised access to other Workspaces or our infrastructure
• Introduce malicious code, conduct denial-of-service attacks, or interfere with the Service
• Scrape, reverse-engineer, or resell the Service without our written consent
• Violate any applicable law or regulation

We may suspend or terminate your Workspace immediately if you breach these obligations.

6. Customer Data and Ownership

You own your data. We claim no intellectual property rights over Customer Data. You grant us a limited licence to store and process Customer Data solely to provide the Service.

You are responsible for the accuracy, legality, and appropriateness of all Customer Data you submit. As the Data Controller of your customers' personal data, you must ensure you have a lawful basis for entering that data into the platform and for any processing you instruct us to carry out.

7. Data Portability and Export

You may export your Customer Data at any time during your Subscription Period. Contact privacy@todahsystems.com to request a data export in JSON or CSV format. We will fulfil export requests within 14 business days.

8. Payment Terms

Subscription fees, where applicable, are due in advance. Failure to pay within 14 days of the due date may result in Workspace suspension. All fees are exclusive of applicable taxes (including VAT).

We do not currently collect payment automatically through this platform. Invoicing and payment are handled separately — contact billing@todahsystems.com.

9. Confidentiality

Each party agrees to treat the other's confidential information with at least the same degree of care it applies to its own confidential information, and not to disclose it to third parties without prior written consent, except as required by law.

Customer Data is considered confidential. Our staff may only access it for support purposes with your consent, or to maintain the Service.

10. Service Availability and SLA

We aim for high availability but do not guarantee uninterrupted service. Scheduled maintenance will be announced in advance where possible. We are not liable for downtime caused by factors outside our control (force majeure, third-party infrastructure failures, etc.).

11. Intellectual Property

The OppTrack CRM platform, software, branding, and documentation are the intellectual property of Todah Systems Limited. These Terms do not transfer any intellectual property rights to you. You receive a limited, non-exclusive, non-transferable licence to use the Service during your Subscription Period.

12. Termination

12.1 By Customer

You may cancel your subscription at any time. Contact support@todahsystems.com. Your Workspace remains active until the end of the current billing period. Customer Data is retained for 30 days after cancellation, then permanently deleted.

12.2 By Us

We may terminate your Workspace immediately for material breach of these Terms (including non-payment, or violation of Section 5). For other reasons, we will provide at least 30 days' notice.

12.3 Effect of Termination

Upon termination, your right to access the Service ceases. You should export your data before cancellation. We will provide a final data export on request within 30 days of termination.

13. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability for any claim arising under these Terms shall not exceed the total fees paid by you in the 12 months preceding the claim.
• We are not liable for indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business opportunity.
• We are not liable for Customer Data loss caused by your actions, User error, or failure to maintain backups of exported data.

Nothing in these Terms limits liability for fraud, death, or personal injury caused by our negligence, or any liability that cannot be excluded by law.

14. Indemnification

You agree to indemnify and hold harmless Todah Systems Limited and its officers, employees, and agents from any claims, losses, or damages (including legal fees) arising from: (a) your use of the Service in violation of these Terms; (b) your Customer Data infringing any third-party rights; or (c) your failure to comply with applicable data protection laws.

15. Governing Law and Disputes

These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes shall be submitted to the jurisdiction of the courts of Lagos State, Nigeria.

For EU/EEA Customers, mandatory consumer protection provisions of your local law also apply where relevant.

16. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email to the account administrator at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. The version number and effective date at the top of this page always reflect the current Terms.

17. General

• Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement between the parties regarding the Service.
• Severability: If any provision is found unenforceable, the remainder continues in full force.
• No Waiver: Failure to enforce any provision does not constitute a waiver.
• Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights in connection with a merger or acquisition.
